Commercial law

The law of business companies, contractual relationships, securities, M&A (mergers and acquisitions) are the areas where we provide complex services both to the local and foreign clients in Slovakia, as well as in transactions with international elements. 

We are pleased to provide legal services are provided from the very beginning of company incorporations, during their entire existence, including internal processes and modifications, until liquidation. We provide advisory services in obtaining, repayment or restructuring of loans, as well as in negotiations in the whole spectrum of contractual relationships, from the operative business activity up to the complex and complicated transactions, including sale of enterprises. 

For corporate and other clients, we also provide complex support in the area of the labour law, including conclusion of employment contracts, preparation of internal regulations, trainings, termination of employment contracts and mass dismissals, etc.. We also cover any related dispute agenda.

Restructuring and insolvency

The bankruptcy and restructuring is our domain. We are prepared to provide effective advisory services also in other jurisdictions of Europe, and according to the UNCITRAL Model Law even outside Europe. We cooperate with most of the banks operating in Slovakia and represent both the debtors and creditors.

We provide complex legal support to our subsidiary with insolvency offices in six different cities, which currently performs the insolvency trustee function in approximately seventy bankruptcy and restructuring cases in the whole Slovakia, in a total value of approximately Eur 350 million. Intellectual property and IT law

We represent several leading Slovak providers of IT solutions and services, software houses, providers of payment services, and many IT start-ups. Several IT companies are supported by us also in their activities in foreign countries or in various acquisitions. 

In the area of intellectual property rights, we provide legal services to several publishers of print media, providers of radio broadcasting, and also to individuals seeking protection particularly in foreign countries.

Competition law

We represent and provide advisory services to several clients in the area of the competition law, including but not limited to cartel cases and merger control. In the related dispute agenda, we successfully won several important cases.  

For our clients, we ensure also complex preventive competition compliance programs including trainings and preparing internal procedures and regulations for the clients. 

Litigation

We litigate on behalf of our clients mainly in respect of corporate relationships, contractual claims, damages, protection of personality (libel and slander cases), tax cases, and insolvency proceedings.

Currently, we represent our clients in approximately 500 proceedings. We also provide support within complex out-of-court administration and enforcement of receivables in various business areas including insurance automotive industry or IT, in the volume of several thousand receivables. 

Real estate

Property due diligence, acquisitions, small, medium and large developer projects, property leases, ownership title disputes. We cover all of that for many of our clients. 

Regulatory

We also provide legal services to clients in a variety of regulated industries, including energy, insurance, banking and military. In providing these services, we cooperate with specialized professionals with experience in patticular sectors in addition to our core team.

We cooperate with a number of banks from both national and international background, in various areas of their business, including litigation and the handling of risk assets. For energy sector companies, we have provided legal support for their entry to the Slovak market, further development, regulatory issues, as well as litigation. Our external associates have handled numerous energy projects both domestic and abroad. We also provide legal services to a international life insurance company and to companies involved in export, production or trade with military goods.

Through its sister company I & R SERVICES, s. r. o. we provide to clients other support services including administrative administration of receivables, office housing, consulting, real estate and mediation of other services.
